RESERVATION AND PAYMENT

The Client agrees to retain JKG Photography for the Services by signing this Agreement and paying a deposit equal to 50% of the total fee listed above. The Client acknowledges that no reservation of the proposed Shoot time and date will be made prior to the signing of this Agreement and payment of the deposit. The Client acknowledges and agrees that, once paid, the deposit is non-refundable.

JKG will invoice the Client for the remaining balance of the fees for the Services and the Client will pay all amounts due by no later than [2] days prior to the Shoot. All payments will be made in Pounds Sterling and, unless agreed otherwise by the parties in writing, to the bank account notified by JKG Photography on the invoice.

Without prejudice to any other right or remedy that it may have, if the Client fails to pay JKG Photography any amount due under this Agreement on the due date:

(a)        JKG Photography may charge the Client interest on the overdue amount from the due date until payment of the overdue amount at a rate of 4% a year over the base rate of the Bank of England from time to time, but at 4% a year for any period when that base rate is below 0%, calculated on a daily basis; and

(b)        JKG Photography may terminate this Agreement and retain the deposit as liquidated damages.

LATE ARRIVALS AND OVERRUNS

The start time and duration of the Shoot will be as set out above. If the Client is late arriving to the Shoot this will have the effect of reducing the duration of the photoshoot.

If the Client requests additional photoshoot time over its original booking time and JKG Photography agrees to accommodate the request, the Client acknowledges that this will incur additional fees and agrees to pay JKG Photography in full the additional overtime fee of £100 per hour as soon as practicable after the Shoot and, in any event, no later than [2] days after the Shoot.

CHANGE OF DATE OR VENUE

The Client may request to reschedule the date of the Shoot to a date within the same calendar year, no later than [7] days prior to the scheduled Shoot. Reschedule requests must be made in writing to info@jkgphotography.co.uk even if a phone call was made to inform JKG Photography of the request. If JKG Photography is available on the requested reschedule date, the deposit will be applied to the rescheduled shoot. Should JKG Photography be unable to accommodate the Client’s requested reschedule date, the Client will not be liable for the remaining balance of the total fee listed above but will forfeit the deposit which shall be liquidated damages for JKG Photography.

Any requests to change the location, timing and other details of the Shoot must be made at least [7] days prior to the Shoot in writing to info@jkgphotography.co.uk. JKG Photography will endeavour to accommodate reasonable requests where possible. Where the new venue requires substantial travel from JKG Photography’s location, the Client agrees to pay the reasonable travel and logistical expenses of JKG Photography.

CANCELLATION

The Client may cancel this Agreement at any time up to [14] days prior to the Shoot. To do so, the Client must send a written cancellation notice to info@jkgphotography.co.uk (even if a phone call was made to inform JKG Photography of the cancellation). Any deposit paid by the Client is non-refundable.

If the Client requests to cancel this Agreement less than [14] days before the Shoot or fails to show, the deposit will be forfeited and the Client agrees to pay JKG Photography the remaining balance of the total fee listed above due to the high probability that JKG Photography will not be able to further book that date. Once a balance is paid, it is non-refundable. The Client acknowledges, accepts and agrees that JKG Photography will not book other photoshoots during the scheduled Shoot time and in the event that the Client cancels the Shoot at short notice or fails to attend the Shoot, for any reason, JKG Photography will suffer losses.

COPYRIGHT AND REPRODUCTIONS

All photographic materials produced during the Shoot and following the Shoot, including but not limited to negatives, transparencies, proofs and previews, are and shall remain the exclusive property of JKG Photography.

All negatives and digital images (“Images”) produced during the Shoot are and shall remain the exclusive copyright of JKG Photography and JKG Photography shall have the exclusive right to make reproductions for, including but not limited to, marketing materials, portfolio entries, sample products, editorial submissions and use, or for display within or on JKG Photography’s website and/or studio. In the case of mass production of Images and/or use of Images for billboard advertising a separate fee will be agreed by JKG Photography and the Client. The Client may request permission to edit images taken at the Shoot. If such permission is granted by JKG Photography, copies of the Client-edited images must be sent to JKG Photography upon editing completion.

The Client hereby waives any rights to intellectual property ownership, monetisation, or reproduction of the Images created by JKG Photography, and must obtain written permission from JKG Photography prior to the publishing or selling of the Images.
